TERMS OF USE

These Terms of Use, along with all other agreements, disclaimers, and disclosures displayed on the Ehrlich Group (including Ehrlich & Fenster Patent & Trademark Attorneys; Ehrlich, Neubauer & Melzer, Attorneys at Law; IPTrade; and G. E. Ehrlich (1995) Ltd.; collectively – The Ehrlich Group) website (the “Terms“) state the terms and conditions under which you may use the website located at https://wizards.ipatent.co.il/ ( the “Site“).The Site is an online legal portal that provides users with legal information and access to certain self-help, “fill in the blank” forms (“The Services”). By accessing or using the Site in any way, including using the data, text, reports, templates, agreements and other materials made available or enabled via the Site (the “The Material“), clicking on the “I accept” button (or such similar button), and/or browsing the Site, you agree that you read and understood these Terms and agree to follow and be bound by them. These Terms govern (1) the Information made available or enabled via the Site; (2) the nature of the relationship between you and Ehrlich Group  (alternatively “we” or “us”); (3) certain other matters of professional responsibility; and (4) your use of this Site, The Material, and related systems (collectively, the “Ehrlich Group Wizard Site“).

  1. Acceptance

IF YOU DO NOT ACCEPT THESE TERMS AND CONDITIONS, YOU WILL NOT BE PERMITTED TO USE THE SITE OR RECEIVE ANY MATERIAL.

Please note that the term “you” also includes the company or other entity/organization on whose behalf you are accepting these Terms, to the extent applicable. If you do not have the requiSite authority, you may not accept these Terms and/or use the Services on behalf of any company or other entity/organization.

You represent and warrant that you have full right and authority to use the Services and to be bound by these Terms. You declare that by acceptance of these Terms and/or by using the Services you are of legal age to form a binding contract with Ehrlich Group, and in any case, at least 18 years of age. You may not use the Services and may not accept these Terms if you are a person barred from using the Services under the laws of the country in which you are resident or from which you access the Services. You agree that you will comply fully with these Terms and all applicable domestic and international laws, regulations, statutes, ordinances that govern your use of such Services. Without limiting the foregoing and in recognition of the global nature of the Internet, you agree to comply with all local and international rules regarding online conduct. You also agree to comply with all applicable laws affecting the transmission of content or the privacy of persons.

If the Services or any parts thereof are determined to be illegal under the laws of the country in which you are situated, you shall not be granted any right or license to use the Services, and must refrain from using the Services.

  1. Restricted Use:

You agree that you shall not:

  1. Defraud, or attempt to defraud, Ehrlich Group or other users, and that you shall not act in bad faith in your use of the Services.
  2. Promote, host, display or implement the Services on any webSites that: (i) contain indecent, obscene or pornographic material, hate speech, highly explosive subject matter (as determined by Ehrlich Group at its sole discretion), defamatory, libelous, obscene, gambling related, discriminatory, deceptive, abusive spyware, adware, or other malicious programs or code, unsolicited mass distribution of email, or any illegal subject matter or activities or otherwise offensive content, or content addressed to individuals under the age of 18; (ii) incorporate any materials that infringe or assists others to infringe on any copyright, trademark or other intellectual property rights; (iii) are an incentive-based webSite, such as a lottery or sweepstakes Site which rewards users for clicking on links; (iv) engage in activities that violate our Privacy Policy;(v) openly encourage users to click on banner ads or other sponsored links to support the Site; or (vi) infringe any right of any third party or violate any applicable law or regulation;
  3. Violate the contractual, personal, intellectual property or other rights of any party including by using, uploading, transmitting, distributing, or otherwise making available any information or material made available through the Services in any manner that infringes any copyright, trademark, patent, trade secret, or other right of any party (including rights of privacy or publicity);
  4. Generate Materials on behalf of someone other than yourself, use bots or other automated software programs to defraud or which otherwise violate these Terms and/or the terms of service of any third-party applications or social networks through which the Services are accessed;
  5. Upload or transmit (or attempt to upload or to transmit), without Ehrlich Group’s express consent, any material that acts as a passive or active information collection or transmission mechanism, including, without limitation, clear graphics interchange formats (“gifs”), 1×1 pixels, web bugs, cookies or other similar devices (sometimes referred to as “spyware”, “passive collection mechanisms” or “pcms”);
  6. Improperly use support channels or complaint buttons to make false reports to Ehrlich Group;
  7. Encourage any third party to: (i) directly or indirectly generate usage, queries, impressions, or clicks through any automated, deceptive, fraudulent or other invalid means; (ii) edit or modify any tag, or remove, obscure or minimize any tag in any way; or (iii) engage in any action or practice that reflects poorly on the Site or otherwise disparages or devalues Ehrlich Group’s reputation or goodwill;
  8. Make representations with respect to Ehrlich Group not approved in advance and in writing by Ehrlich Group. You shall obtain Ehrlich Group’s prior written approval to the content of any marketing message, and with respect to any use of Ehrlich Group’s trade name and/or trademarks and/or designs in connection with the Services;
  9. Violate any applicable laws or regulations, or encourage or promote any illegal activity including, but not limited to, copyright infringement, trademark infringement, defamation, invasion of privacy, identity theft, hacking, cracking or distribution of counterfeit software, or cheats or hacks for the Services;
  10. Attempt to use the Services on or through any service that is not authorized by Ehrlich Group. Any such use is at your own risk and may subject you to additional or different terms. Ehrlich Group takes no responsibility for your use of the Services through any service that is not authorized by it;
  11. Attempt to interfere with, hack into or decipher any transmissions to or from the servers for the Services; and/or
  12. Interfere with the ability of others to enjoy using the Services, including disruption, overburden or aid the disruption or overburdening of the Services’ servers, or take actions that interfere with or materially increase the cost to provide the Services for the enjoyment of all its users.
  1. Compliance with Laws

You agree to use the Site and the Material in compliance with all applicable laws and regulations.

The Terms limit the remedies available to you in the event of a dispute.

Ehrlich Group at its sole discretion may choose to change the terms, conditions, and operation of the Site and the Material or discontinue the Services at any time with or without notice, for any or no reason without liability. Ehrlich Group, in its sole discretion, reserves the right to refuse to provide you access to the Site and the Material. You agree that Ehrlich Group shall not be liable to you for loss or damages that may result from our refusal to provide access to the Site or the Material. When changes are made, Ehrlich Group will make a new copy of the Terms available on the Ehrlich Group Wizard Site and you agree to be bound by such revisions or modifications. You are responsible for viewing these Terms from time to time. Your continued use of the Services after a change or modification of these Terms has been made will constitute your acceptance of the revised Terms. If you do not agree to the Terms, your only remedy is to discontinue your use of the Services.

  1. Accessibility and Quality of Services

Ehrlich Group cannot guarantee that the Services will always function without disruptions, delay or errors. A number of factors may impact the quality of your communications and use of the Services, and may result in the failure of your communications including, without limitation, your local network, firewall, your internet service provider, the public Internet and your power supply. Ehrlich Group takes no responsibility for any disruption, interruption or delay caused by any failure of or inadequacy in any of these items or any other items over which we have no control.

It is your sole responsibility to ensure your computer or mobile device meets all the necessary technical specifications to enable you to access and use the Services. Ehrlich Group does not provide you with the equipment to access and/or use our Services. You are solely responsible for all fees charged by third parties related to your access and use of the Services (e.g., charges by Internet service providers or air time charges).

  1. Use by Agents

You agree that, if an agent (e.g., an attorney, an employee, etc.) uses the Site or the Material on your behalf, you are nonetheless bound as a principal by all terms and conditions herein.

  1. No Legal or Tax or Other Professional Advice. 

The Ehrlich Group Wizard Site is not intended to constitute specific legal, tax and/or accounting advice nor does it constitute the practice of law or is a substitute for advice from qualified counsel and other tax or accounting professionals.

  1. Ownership of Rights. 

You acknowledge that the Ehrlich Group Wizard Site (and all Materials included therein) is protected by copyrights, trademarks, trade dress, trade secrets, patents or other proprietary rights protected by laws protecting intellectual property and related proprietary rights and international conventions. These worldwide rights are valid and protected in all forms, media and technologies now existing or hereafter developed. You agree to comply with all intellectual property laws and you shall not encumber any interest in, or assert any rights to, the Ehrlich Group Wizard Site. Unless expressly stated herein, nothing in these Terms shall be construed as conferring any license to intellectual property rights, whether by estoppel, implication or otherwise. Ehrlich Group does not grant you any rights in its intellectual property.

  1. License to Use. 

Subject to your agreement and compliance with these Terms, Ehrlich Group grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable, limited scope license to download, view, copy and print The Material and the Ehrlich Group Wizard Site solely for your own private informational, non-commercial and personal use only and for no other purpose whatsoever. Such license is subject to these Terms and applicable law and does not include: (1) any resale, rent, lease, sell or commercial use of the Ehrlich Group Wizard Site without Ehrlich Group’s prior written consent, such as contests, sweepstakes, barter, advertising, or pyramid schemes; (2) the distribution, public performance or public display of all or any portion of the Ehrlich Group Wizard Site; (3) modifying or otherwise making any derivative uses of the Ehrlich Group Wizard Site; you have no right to edit, copy, reproduce, decompile, disassemble, transfer, reverse engineer, sub-license, alter, enhance, republish, scrape, transmit, post, monitor, use the Site not in accordance with these Terms (4) use of any data mining, robots, deep-link, crawlers or similar data gathering or extraction methods (5) downloading of any portion of the Ehrlich Group Wizard Site, except as expressly permitted on the Ehrlich Group Wizard Site; (6) making any portion of the Ehrlich Group Wizard Site available through any technology now existing or developed in the future; (7) using any automatic or manual process to harvest information from the Ehrlich Group Wizard Site; (8) taking any action or Making Available any Content on or through the Ehrlich Group Wizard Site that infringes any patent, trademark, trade secret, copyright, right of publicity or other right of any person or entity or that is unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another’s privacy, tortious, obscene, offensive, or profane or impersonates any person or entity, including any employee or representative of Ehrlich Group; or (9) interfering with, or attempts to interfere with, the proper functioning of the Ehrlich Group Wizard Site or uses the Ehrlich Group Wizard Site in any way not expressly permitted by the Terms, in any form or by any means, in whole or in part, use for any purpose other than for using the Services pursuant to these Terms or in any way exploit any of the Material in any manner, except for modifications in filling out the Material for your authorized use. Any reproduction or redistribution of Materials not in accordance with these Terms is explicitly prohibited and may result in the termination of your use of the Site and the Services as well as severe civil and criminal penalties.

You agree that you shall not make attempts to engage in, or engage in, any potentially harmful acts that are directed against the Ehrlich Group Wizard Site, including but not limited to violating or attempting to violate any security features of the Ehrlich Group Wizard Site, using manual or automated software or other means to access, “scrape,” “crawl” or “spider” any pages contained in the Ehrlich Group Wizard Site, introducing viruses, worms, Trojan horses, time bombs, cancelbots, corrupted files or data, or any other similar software or programs that may damage the operation of the Services or the computers of other users of the Services or the Ehrlich Group Wizard Site, or interfering or attempting to interfere with use of the Ehrlich Group Wizard Site by any other user, host or network, including by means of overloading, “flooding,” “spamming,” “mail bombing,” or “crashing” the Ehrlich Group Wizard Site. You further agree that you shall not advertise, solicit or transmit any commercial advertisements, including chain letters, junk e-mail or bulk e-mail or repetitive messages to anyone;

If the Services or any part thereof is determined to be illegal under the laws of the country in which you are situated, you shall not be granted any license to use the Services, and must refrain from using the Services.

The license to use is provided that (1) where provided, the copyright and trademark notices appearing on any Material not be altered or removed, (2) The Material are not used on any other webSite or in a networked computer environment, and (3) The Material are not modified in any way, except for authorized editing or downloadable forms for personal use. This license terminates automatically without notice if you breach any of the provisions of these Terms. Any unauthorized use of the Ehrlich Group Wizard Site may violate copyright laws, trademark laws, laws of privacy and publicity and communications regulations and statutes.

  1. Disclaimer of Warranties.  

YOU EXPRESSLY UNDERSTAND AND AGREE THAT TO THE EXTENT PERMITTED UNDER APPLICABLE LAW, YOUR USE OF THE EHRLICH GROUP WIZARD SITE, INCLUDING THE MATERIAL, IS AT YOUR SOLE RISK, AND THE EHRLICH GROUP WIZARD SITE, INCLUDING THE MATERIAL, IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITH ALL FAULTS. EHRLICH GROUP AND ITS PARTNERS, EMPLOYEES AND AGENTS (COLLECTIVELY, THE “EHRLICH GROUP PARTIES”) EXPRESSLY DISCLAIM ALL WARRANTIES, REPRESENTATIONS AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, RELATED TO THE EHRLICH GROUP WIZARD SITE, INCLUDING THE MATERIAL, INCLUDING BUT NOT LIMITED TO, THE IMPLIED TERMS, WARRANTIES OR CONDITIONS OF MERCHANTABIILTY, SATISFACTORY QUALITY, USEFULNESS, ACCURACY, COMPLETENESS, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. YOU ASSUME COMPLETE RESPONSIBILITY AND RISK FOR USE OF THE SITE AND THE MATERIAL. YOU HEREBY IRREVOCABLY AND FULLY WAIVE ANY CLAIMS, KNOWN OR UNKNOWN, YOU MAY HAVE AGAINST EHRLICH GROUP, NOW OR IN THE FUTURE, IN CONNECTION WITH THE SITE AND THE MATERIAL.

The Material may be inappropriate for your particular circumstances. Furthermore, state laws or national laws may require different or additional provisions to ensure the desired result. You should consult with legal counsel to determine the appropriate legal or business documents necessary for your particular transactions, as the Material are only samples and may not be applicable to a particular situation.

We assume no liability or responsibility for any (1) Errors, mistakes, inaccuracies, non-suitability or non-conformity of any content;(2) Direct, indirect, special, incidental, punitive or consequential damages including without derogating monetary damages, of any nature whatsoever, arising out of the use of or the inability to use the Services;(3) Any unauthorized access to or use of secure servers and/or any and all personal information and/or financial information stored therein;(4) Any interruption or cessation of transmission to or from the Services;(5) Any bugs, viruses, Trojan horses, or the like which may be transmitted to or through the Services by any third party; and/or (6) Any errors or omissions in any content or for any loss or damage of any kind incurred as a result of the use of any content posted, e-mailed, transmitted, or otherwise made available via the Services.

You may be able to access, review, display or use third party services, resources, content, data, information and/or links and/or hyperlinks to other webSites or resources (the “Third Party Materials”) via the Services. You acknowledge your sole responsibility for and assume any and all risks arising from your access to, use of or reliance upon any such Third Party Materials, and Ehrlich Group disclaims any liability that you may incur arising from your access to, use of or reliance upon such Third Party Materials through the Services. You acknowledge and agree that Ehrlich Group: (1) is not responsible for the availability, accuracy integrity, quality or lawfulness of such Third Party Materials or the products or services on or available from such Third Party Materials; (2) has no liability to you or any third party for any harm, injuries or losses suffered as a result of your access to or use of such Third Party Materials; and (3) does not make any promises to remove Third Party Materials from being accessed through the Services. Your ability to access or link to Third Party Materials or third party services does not imply any endorsement by Ehrlich Group of Third Party Materials or any such third party services.

These Terms do not authorize you to, and you may not use any Third Party Materials except as expressly permitted (by license or otherwise) by the owners of such Third Party Materials and such owners may have the right to seek damages against you for any unauthorized use of their Third Party Materials.

Without derogating from any of Ehrlich Group’s rights and remedies under these Terms and/or under law, Ehrlich Group will be entitled, at its sole discretion, to immediately discontinue the Services or any part thereof, including the termination of your use of Materials, in the event of any alleged infringement, misappropriation or violation of any rights of any third parties in connection with the Third Party Materials.

You may not use any Third Party Materials for which you have not obtained appropriate approval to use. Ehrlich Group cannot grant permission to use third party content.

  1. Limitation of Liability. 

You agree and acknowledge that The Material are prepared by Ehrlich Group for your informational purposes only without any knowledge of your industry, business model or other specific circumstances.

Further, The Material are generic forms which may have bracketed or highlighted items which require your review and/or modification before finalizing the wording. The application and impact of relevant laws will vary based on industry, identity, jurisdiction and other circumstances. The provision of the Site and any resulting Material does not represent any undertaking to keep you advised of any legal developments. You must review The Material thoroughly prior to use to ensure that their terms are acceptable to you and reflect your intent.

YOU UNDERSTAND AND AGREE THAT IN NO EVENT SHALL ANY OF THE EHRLICH GROUP PARTIES BE LIABLE FOR ANY DAMAGES RESULTING FROM LOSS OF USE, DATA, OR PROFITS WHETHER DIRECT OR INDIRECT OR FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, ARISING OUT OF OR IN CONNECTION WITH THE EHRLICH GROUP WIZARD SITE WHETHER OR NOT EHRLICH GROUP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES and WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY. By using the Site or the Material, you waive any rights or claims you may have against Ehrlich Group in connection therewith. The information contained in the Site and the Material is provided only as general information and may not reflect the most current market and legal developments and may not address all relevant business or legal issues; accordingly, information in the Site or the Material is not promised or guaranteed to be correct or complete.

YOU SPECIFICALLY ACKNOWLEDGE THAT WE SHALL NOT BE LIABLE FOR ANY USER SUBMISSIONS AND/OR DEFAMATORY, OFFENSIVE AND/OR ILLEGAL CONDUCT BY ANY THIRD PARTY, AND THAT THE RISK OF HARM OR DAMAGE FROM AND/OR ASSOCIATED WITH THE FOREGOING RESTS ENTIRELY WITH YOU.

In the event that we are found liable for any damages arising from your use of the Service or Site, despite the explicit provisions of this paragraph and these Terms, our maximum liability for any such damages of any kind, shall not exceed US$100.

  1. Indemnification.

You agree to make the Ehrlich Group Parties harmless for any and all demands, claims, damages, losses, liabilities, obligations, costs and expenses (including attorneys’ fees) arising from (1) Your use of the Ehrlich Group Wizard Site or any violation of these Terms; (2) Your violation of any term of these Terms;(3) Your violation of any third party right, including without limitation any copyright, property, or privacy right; and/or (4) Any claim that any user submission made by you has caused damage to a third party.

Additionally, we shall not incur any liability or bear any responsibility due to a delay or failure in performance caused by Force Majeure. “Force Majeure” referrers to circumstances beyond our reasonable control, including but not limited to acts of God, fire, flood, war, terrorism, embargo, accident, labor disputes, or shortage of material, equipment or transport, any law, regulation, or any ruling of court, tribunal or governmental agency.

  1. User Content.
  1. Types of Content. You acknowledge that you, and not Ehrlich Group, are entirely responsible for all information, data text, messages and/or other materials (“Content“) that you upload, post, e-mail, transmit or otherwise make available (“Make Available“) through the Ehrlich Group Wizard Site (“Your Content“), and other users of the Ehrlich Group Wizard Site, and not Ehrlich Group, are similarly responsible for all Content they Make Available through the Ehrlich Group Wizard Site.

By using the Site and submitting Your Content, you represent, warrant and covenant that you have the right and authority to provide Your Content.  You agree that you are submitting Your Content willingly and you represent that you own Your Content or have received the necessary authorizations from third parties, that you have all rights to submit Your Content and that submitting of Your Content by you complies with all applicable laws. We disclaim any and all liability in connection with the collection and use of Your Content or otherwise collected by the Site.

  1. No Obligation to Regulate Content. You acknowledge that Ehrlich Group has no obligation to regulate or pre-screen Content (including but not limited to Your Content and other Content uploaded, posted, transmitted or otherwise made available by third parties on the Ehrlich Group Wizard Site), although Ehrlich Group reserves the right in its sole discretion to regulate or pre-screen, refuse or remove any Content. By entering into the Terms, you hereby provide your irrevocable consent to such monitoring. We reserve the right (but shall at no time be obligated) to, in our sole discretion, remove, block, edit, move, disable or permanently delete Content from the Site with or without notice for any reason whatsoever. You hereby agree that, to the maximum extent permitted by applicable law, we shall at no time be responsible or held liable for the removal, modification or blocking of material or Content that may be considered offensive and shall at no time be obligated to effect such removal other than under applicable law.

In the event that Ehrlich Group pre-screens, refuses or removes any Content, you acknowledge that Ehrlich Group will do so for Ehrlich Group’s benefit, not yours. Without limiting the foregoing, Ehrlich Group shall have the right to remove any Content that violates the Terms or is otherwise objectionable.

By using the Services you acknowledge and accept that you may be exposed to material you find offensive or objectionable. You agree that we will not, under any circumstances, be responsible or liable for any Content, including, but not limited to, errors in any Content or any loss or damage incurred by use of the Content or for any failure to or delay in removing Content.

  1. Storage. While the Site may temporarily store your information and a copy of The Material based on that information, we cannot guarantee the security of any such information or Material and we cannot guarantee that such information or Material will not be lost.

Ehrlich Group has no obligation to store any of Your Content that you Make Available on the Ehrlich Group Wizard Site. Ehrlich Group has no responsibility or liability for the deletion or accuracy of any Content, including Your Content; the failure to store, transmit or receive transmission of Content; or the security, privacy, storage or transmission of other communications originating with or involving use of the Ehrlich Group Wizard Site. Any losses incurred or sustained by you as a result of transmitting information by means of email or other internet links, shall be borne solely and exclusively by you, and in no event, shall any such losses be borne, in whole or part, by us.

  1. Right to Use Content

By sending and/or creating Content and/or using the Services you automatically grant us a non-exclusive, royalty-free, perpetual license of all worldwide rights to share, use, edit, modify, include, incorporate, adapt, record and reproduce such Content, including, without limitation, all trademarks associated therewith, in any manner whatsoever, in or out of context, in all languages, in all media now known or hereafter created for the purposes set forth in the Services and these Terms, including for the avoidance of doubt commercial, non-commercial and/or promotional use by us. We may retain any raw material that you submit, and make internal use of such material including for testing purposes. You hereby agree that any of our users may view and use the Content.

  1. Privacy and Confidentiality

You acknowledge that e-mail and the Internet are generally insecure media of communication, and Ehrlich Group cannot guarantee the confidentiality of any e-mail sent to or received by it or any information submitted by you to Ehrlich Group through the Ehrlich Group Wizard Site. Ehrlich Group will not be responsible for any breach of confidentiality or privacy that might occur in relation to Your Content by third parties or due to any act of a third party.

  1. Governing Law. 

By accessing or using the Services, you agree that the laws of the State of Israel, without regard to principles of conflict of laws and regardless of your location, will govern these Terms and any dispute of any sort that might arise between you and Ehrlich Group.

Any claim or dispute between you and Ehrlich Group that arises in whole or in part from your use of the Services shall be settled amicably by mutual agreement between Ehrlich Group and you. In case the parties cannot resolve such dispute amicably, it shall be decided exclusively by a court of competent jurisdiction located in Tel-Aviv-Jaffa, Israel, to the exclusion of any other courts, and you hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non-convenient with respect to venue and jurisdiction in the courts of Tel-Aviv-Jaffa, Israel. YOU AND EHRLICH GROUP AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SERVICES MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.

  1. Termination. 

Notwithstanding any of these Terms, Ehrlich Group reserves the right, without notice and in its sole discretion, to terminate your license to use the Ehrlich Group Wizard Site, and to block or prevent your future access to the Ehrlich Group Wizard Site.

  1. Submissions. 

You acknowledge and agree that any questions, comments, suggestions, feedback, ideas or other information or materials regarding the Ehrlich Group Wizard Site (but excluding any client information) (the “Feedback“) that is provided by you in the form of e-mail or other submissions to Ehrlich Group, or any postings on the Ehrlich Group Wizard Site, are (as between you and Ehrlich Group) non-confidential and shall become the sole property of Ehrlich Group. Ehrlich Group shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of such Feedback for any purpose, commercial or otherwise, without acknowledgement or compensation to you.

  1. Waiver. 

Any waiver or failure to enforce any provision of the Terms on one occasion will not be deemed a waiver of any other provision or of such provision on any other occasion.

  1. Severability. 

If any provision of the Terms is, for any reason, held to be invalid or unenforceable, the other provisions of the Terms will remain enforceable, and the invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law.

  1. Entire Agreement. 

The Terms are the final, complete and exclusive agreement of the parties with respect to the subject matter hereof and supersede and merge all prior discussions between the parties with respect to such subject matter.

  1. Notices

Notices to you may be made via the Services and/or e-mail. Ehrlich Group may also provide notices of changes to these Terms or other matters by displaying notices or links to notices to you generally on the Site. You agree that all agreements, notices, disclosures and any other communications that Ehrlich Group provide as aforementioned satisfy any legal requirement that such communications be in writing.
